The invoice goes out signed, and it comes back with one line: "please add the company stamp". If you are in a country where nobody has used one in decades, this sounds like an invented obstacle. It is not. Company stamps sit somewhere between law, convention and a working fraud check, and which of the three you are dealing with decides how much you should care.

Where the stamp is a legal instrument

In parts of Asia the company seal carries real legal weight, and the chop rather than the signature is the act that binds the company. Japan, China, Korea and Taiwan all have variations of this, with the seal registered and its use controlled internally, because whoever holds it can commit the company.

Across much of the Gulf, and in a number of African and Latin American jurisdictions, a company stamp on contracts and invoices is standard practice and is often expected by banks, ministries and large corporates as a matter of routine, even where no statute demands it.

In the UK, the US, Australia and most of Western Europe the position is the opposite. Company seals were largely abolished or made optional decades ago, and a contract needs no stamp at all to be binding. Many businesses still use one, because it looks official and because their customers expect it.

Where it is a convention that still decides whether you get paid

This is the case that matters most and gets discussed least. An accounts payable clerk with a checklist is not applying company law, they are applying a checklist, and if the checklist says stamped invoice then an unstamped invoice goes back regardless of what the law says. Arguing is free and takes three weeks. Stamping takes fifteen seconds.

The commercial read is straightforward: if a customer asks for a stamp, put a stamp on it. You are not conceding a legal point, you are removing a reason for somebody to delay paying you.

What a stamp is actually doing on the page

It says the organisation acted, not just a person. A signature is one individual; a seal carrying the company name, registration number and a date is the business putting its name to the document. On an approval, a receipt or a certified copy that distinction is the whole point.

A digital one can carry things a rubber stamp cannot: a date that fills itself in when the stamp is applied, so a batch is never dated wrong, and a serial number that never repeats, which is what makes a stamped receipt auditable rather than merely marked.

Signature and stamp, in the same pass

The usual process puts them on separately, sometimes days apart, which is how you end up with a stamped page and a signed page that do not obviously belong to each other. Applying both before sealing binds them to the same document and the same moment, and one fingerprint then covers the text, the signature and the stamp together.

A stamp with a transparent centre overlaps the signature or the text the way a physical seal does, without hiding either. On a contract the common pattern is the seal on every page and the signature on the execution page, which makes page substitution obvious.

Where the stamp still needs care

A company stamp is a claim of authority. Applying one to a document you are not authorised to bind the company to is not a formatting decision, it is a serious matter whatever tool made the stamp. Where the seal has legal force, as in the jurisdictions above, treat control of it the way those companies do: few holders, and a record of use.

Whether a stamp is required for your document, in your country, is a question for the party asking and for local advice, not for a general article. What is safe to say is that where it is asked for, providing it is faster than debating it.

Yes. A schedule or a bill of quantities is laid out the way Excel prints it and stamped on the printed page rather than on a floating object.

Do I also need a draft watermark or a confidential watermark?

Only if the document needs a warning as well as an approval. A watermark says what the document is; a company stamp says who stood behind it.

Do I need a company stamp on an invoice?
