INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement ("Agreement") is entered into on [date] between [company] ("Company") and [contractor] ("Contractor").
1. Engagement & Independent Status
Company engages Contractor as an independent contractor — NOT as an employee, partner, agent, or joint venturer. Contractor controls the manner and means of performance.
2. Services
Contractor will perform: [scope of work]. Deliverables and milestones are described in Exhibit A.
3. Compensation
Company will pay Contractor [rate] ([rate type]), invoiced [invoice frequency], with payment due within [payment days] days of invoice.
4. Taxes & Benefits
Contractor is solely responsible for all taxes, social-security contributions, insurance, and benefits. Company will NOT withhold any taxes on Contractor's behalf.
5. Intellectual Property
All deliverables created specifically for Company under this Agreement are work-made-for-hire. Contractor assigns all rights to Company upon full payment. Contractor retains rights in pre-existing tools and general know-how.
6. Confidentiality
Contractor will keep Company's confidential information in strict confidence for [confidentiality years] years after termination.
7. Termination
Either party may terminate with [termination notice] days written notice. Company will pay for work completed up to the termination date.
8. Governing Law
