MUTUAL NON-DISCLOSURE AGREEMENT
This Mutual Non-Disclosure Agreement ("Agreement") is entered into on [date] by and between [party a] ("Party A") and [party b] ("Party B"), collectively the "Parties."
1. Confidential Information
Each Party may disclose to the other certain non-public business, technical, financial, or product information ("Confidential Information"). This includes, but is not limited to, trade secrets, customer lists, pricing, source code, and strategic plans.
2. Obligations
Each Party agrees to: (a) hold the Confidential Information in strict confidence; (b) use it solely to evaluate or pursue the business relationship between the Parties; (c) not disclose it to any third party without prior written consent.
3. Exclusions
Confidential Information does not include information that: (i) is or becomes publicly known through no fault of the receiving Party; (ii) was rightfully known before disclosure; (iii) is independently developed without use of the Confidential Information; (iv) is required to be disclosed by law.
4. Term
This Agreement remains in effect for [term years] years from the date first written above. Obligations of confidentiality survive termination.
5. Governing Law
This Agreement is governed by the laws of [jurisdiction]. Any disputes shall be resolved in the courts of [jurisdiction].
